Commercial Contracts
To stay on top of your contractual rights and obligations, it’s best practice for commercial agreements to be in writing. A specialist lawyer can help your business to draft agreements that are clear and commercial, effectively allocate risk and anticipate common sources of disputes to minimise the likelihood of litigation.
At Law Hero, we help clients draft, review and negotiate a wide range of commercial agreements, including:
- Shareholders agreements;
- Franchise agreements;
- Share sale purchase agreements;
- Land sale purchase agreements;
- Sale of business agreements;
- Confidentiality agreements;
- Joint venture and partnership agreements;
- Loan agreements;
- Security agreements;
- Service and consultancy agreements;
- Employment and independent contractor agreements;
- Distribution and supply agreements; and
- Concession agreements.
In addition to contract drafting, reviews and negotiations, Law Hero can also assist to resolve contractual disputes.
Banking and Finance
Foreign investors in Laos can obtain debt finance through secured and unsecured loans. Many investors choose to finance their Lao subsidiaries in Laos via intercompany loans. Please note that all loans provided by foreign entities and individuals to Lao entities and individuals must be approved by the Bank of Lao PDR (the central bank of Laos). In addition, some foreign individuals or companies use legal loan and security arrangements to obtain land-use (ownership) rights, which we discuss in more detail in the Land Use Structuring section. Accordingly, our legal team can assist with:
- Structuring, drafting, reviewing and negotiating loan agreements, security agreements and guarantees (including foreign financial instruments);
- Advising in relation to loans and foreign exchange regulations; and
- Obtaining approval of the Bank of Lao PDR for foreign loans including intercompany loans provided by the parent company overseas to its Lao subsidiary.
